Terms of Service

These Terms govern access to Qualium AI (the “Service”). By creating an account, connecting a repository, purchasing a plan, or using the Service, you agree to them. If you use the Service for an organisation, you confirm that you can bind that organisation.

1. The Service

Qualium provides automated software discovery, testing, evidence, release assessments, and optional code-change suggestions. Results are decision support, not a guarantee that software is defect-free, secure, compliant, or suitable for release. You remain responsible for reviewing results, proposed code, and release decisions.

2. Accounts and authorised use

You must provide accurate account information, protect credentials, and promptly revoke access that is no longer needed. You may connect only systems, repositories, environments, accounts, and data that you are authorised to access and test.

You must not use the Service to attack systems, evade access controls, introduce malicious code, unlawfully collect personal information, disrupt other customers, or violate law or third-party rights. Use isolated staging environments, test data, sandboxed integrations, and disposable test identities wherever practical.

3. Customer content and permissions

You retain ownership of source code, staging data, credentials, test instructions, and other material you provide (“Customer Content”). You grant us a limited licence to host, process, reproduce, and transmit Customer Content solely to provide, secure, support, and improve the Service. You are responsible for ensuring that Customer Content may lawfully be processed in this way.

Repository and staging credentials are used only for the access you configure. Testing is read-only unless you expressly request a fix workflow. Fixes are created on a separate branch and should be reviewed before merge.

4. AI-generated output

The Service uses automated and AI systems. Output can be incomplete, incorrect, or unsuitable. Confirm findings independently where risk is material, review generated changes, and maintain your own backups and source-control protections. Do not rely on the Service as the sole control for safety-critical, regulated, or high-impact decisions.

5. Plans, usage, and payment

Prices, included usage, and plan features are shown at purchase. Charges are processed by our payment provider. Unless a checkout states otherwise, subscriptions renew automatically until cancelled and cancellation takes effect at the end of the current billing period. Usage purchases and consumed run credits are non-refundable except where required by law. Taxes may apply.

6. Availability and changes

We aim to operate the Service reliably but do not promise uninterrupted or error-free availability. We may modify, suspend, or discontinue features to maintain security, comply with law, or improve the Service. We will give reasonable notice of material changes when practical.

7. Confidentiality and security

Each party must protect the other party’s non-public confidential information using reasonable care and use it only for the relationship contemplated by these Terms. We use technical and organisational safeguards, but no online service can eliminate all risk.

8. Intellectual property

We and our licensors own the Service, its software, branding, and documentation, excluding Customer Content. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service during your account term.

9. Suspension and termination

You may stop using the Service and cancel paid plans through Billing. We may suspend or terminate access for material breach, security risk, non-payment, unlawful use, or harm to the Service or others. Provisions that by nature should survive termination—including payment obligations, confidentiality, disclaimers, and liability limits—will survive.

10. Disclaimers and liability

To the maximum extent permitted by law, the Service is provided “as is” and “as available,” without implied warranties. Nothing in these Terms excludes rights or remedies that cannot lawfully be excluded, including applicable Australian Consumer Law rights.

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, exemplary, or consequential loss, or lost profits, revenue, goodwill, or data. Our aggregate liability arising from the Service is limited to the amount you paid for the Service during the 12 months before the event giving rise to the claim.

11. Governing law

These Terms are governed by the laws of Queensland, Australia. Courts located in Queensland have non-exclusive jurisdiction.
